TERMS AND CONDITIONS OF SALE (SALE AGREEMENT)

1. Seller’s Identity

These Terms and Conditions govern the sale of products via the idroindoor.com website (the “Website”) by:

2. Scope of application

These Terms apply to all orders placed on the Website by Consumers (B2C) and Professionals/Businesses (B2B). By placing an order, the Customer confirms that they have read, understood and fully accepted these Terms.

3. B2B customers, price lists and minimum order

For B2B Customers, dedicated price lists and reserved conditions may be available on request only, with a minimum purchase of €500.00. To access B2B conditions, the Customer must submit a request via the relevant Website forms and wait for written confirmation from the Seller.

4. Products, permitted use and minors’ access

The Website offers equipment and consumables for hydroponics, indoor and outdoor cultivation, accompanied where applicable by technical specifications, compliance documentation and/or safety data (e.g. CE Declarations, test reports, MSDS).

The Seller does not encourage illegal cultivation of substances in any way. Products are intended for lawful use and in compliance with applicable regulations. Minors under 16 may access and purchase only under the supervision of a parent/guardian, for responsible purchasing.

5. Legal restrictions, export and shipping eligibility

The Seller ships worldwide only where:

  • the laws of the destination country allow the sale/import of the ordered products; and
  • the product is eligible to be shipped to that country (for example due to certifications, restrictions or local regulations).

Some categories may be subject to limitations (for example fertilisers to non-EU countries and certain electronic products not certified for specific destinations).

6. Prices, currency and tax regime

Prices on the Website are shown in Euro (EUR) and/or Pound Sterling (GBP), depending on the language/currency selected. Any shipping costs are calculated at checkout and/or indicated on the dedicated page.

The Seller operates under the Italian flat-rate tax scheme (regime forfettario) and therefore issues sales as: “Transaction without VAT, pursuant to art. 1, paragraphs 54–89, Law 190/2014, as amended by Law 208/2015 and Law 145/2018”. Tax documentation (invoice or commercial document) will be issued in accordance with applicable rules and the data provided by the Customer.

For warranty purposes and correct issuance of documentation, the Seller may request the Customer’s Tax Code. Upon request, a commercial document may also be issued; however, certain manufacturer warranty procedures may require specific documentation.

7. Duties, taxes and customs charges outside the EU

For shipments to non-EU countries, any duties, taxes, customs charges and clearance fees are payable by the Customer and vary according to the laws of the destination country.

8. How the contract is formed and order acceptance

The order is deemed accepted when the amount is credited to the Seller’s accounts and the order status changes to payment accepted, with a confirmation email sent to the Customer.

9. Payments, timing and anti-fraud checks

The available payment methods are those displayed at checkout (for example cards, PayPal, bank transfer and/or other enabled gateways).

  • Bank transfer: if funds are not credited within 3 working days, the order may be cancelled.
  • Anti-fraud checks / pre-authorisation: for certain methods (e.g. PayPal and Viva Wallet), the Seller may place a pre-authorisation and capture the payment only after verifying order feasibility and actual stock availability.

10. Order cancellation before dispatch

The Customer may request cancellation before dispatch. In such case, the refund may be partial, with deduction of the payment fees actually incurred by the Seller to collect the payment, depending on the chosen method.

11. Shipping, fulfilment and delivery times

The main logistics partner is Poste Italiane. General service information: Poste Italiane Parcels. Website delivery details: Delivery and Shipping.

  • Order preparation: usually within 24/48 hours, maximum 2 working days for in-stock products.
  • Sourcing from supplier: where required, indicative lead time 2–7 working days.
  • Estimated delivery times: Italy 2–3 working days (including major islands), EU 5–10 working days, non-EU variable up to an indicative maximum of 20 working days.
  • Tracking: shipments are made with tracking only.

12. Incorrect address or failed delivery

The Customer is responsible for the accuracy of shipping details. In the event of an incorrect address or failed delivery attributable to the Customer:

  • if the shipment returns to the Seller, the Customer must pay any applied costs/taxes and may request a new shipment at their own expense; or
  • alternatively, the Customer may arrange collection using their own couriers from the Seller’s warehouses at the registered office.

13. Damaged parcel, conditional acceptance and video evidence (priority clause)

Upon delivery, in the presence of damaged parcels or anomalies, the Customer must:

  • accept delivery with reservation of inspection (mandatory);
  • record a video before opening the parcel and during opening, documenting contents and any damage;
  • if a product is damaged, record a separate video of the product;
  • send everything promptly to info@idroindoor.com.

Without a reservation of inspection and/or suitable evidence, it may not be possible to open a damage claim with the carrier. If the claim is correctly handled and approved, the Seller will assess re-dispatch or refund according to the applicable conditions and the shipping partner’s insurance rules.

14. Availability, backorders and single shipment

For out-of-stock items, the Website may allow backorder/pre-order. If an order contains items with different lead times, the Seller will normally make a single shipment once all items are available. If the Customer requires split deliveries, they may place separate orders (one for in-stock items and one for backordered items).

15. Inability to ship for legal or technical reasons

If, after payment is credited, an order is not shippable due to legal restrictions in the destination country or due to product characteristics/certifications, the Seller may:

  • propose an alternative where possible; or
  • issue a partial refund with deduction of the collection/payment fees incurred.

The Customer may be contacted to confirm by email either the preparation of the goods or the handling of the refund.

16. Right of withdrawal (B2C)

The Consumer Customer has the right to withdraw within 14 days from delivery, in accordance with applicable law. Withdrawal does not apply, where permitted by law, to products that are:

  • opened consumables or used items;
  • sealed goods not suitable for return for hygiene reasons once opened;
  • chemicals, fertilisers and products subject to specific storage/safety conditions;
  • personal, intimate or hygienic goods in the cases provided by law.

Return shipping costs for withdrawal (change of mind) are borne by the Customer.

17. Return conditions for withdrawal

The product must be returned intact, unused, complete with original packaging, accessories, components, manuals and protective materials (bags, plastics, etc.) in the same condition as shipped. The Seller will carry out a thorough inspection; used or incomplete products are not refundable.

The refund for withdrawal may be partial, with deduction of the collection/payment fees incurred by the Seller for the transaction.

18. Warranty and defects

B2C Customers (Consumers): the legal guarantee of conformity under Italian consumer law applies for lack of conformity. Any manufacturer’s commercial warranties (duration and conditions) are governed solely by the manufacturer’s rules.

B2B Customers (Professionals/Businesses): warranty for defects applies under articles 1490 et seq. of the Italian Civil Code, unless otherwise agreed in writing between the parties.

19. Returns for defects, RMA procedure and self-declaration

To handle a defective product, an RMA procedure is required. The Customer must:

  • contact info@idroindoor.com describing the issue;
  • provide clear video evidence of the defect/malfunction;
  • complete, if requested, a self-declaration regarding the nature of the defect and the conditions of use.

Shipping costs for inspection may be advanced by the Customer; after checks and where a defect is recognised, the Seller may reimburse such costs as agreed and documented.

20. Refunds: timing and method

Refunds are issued within 14 days of receipt and inspection of the return (or the closure of the case), preferably using the same payment method. In any case, the Seller may retain the collection/payment fees incurred for the original transaction, where applicable.

No refunds are accepted for used products or products not returned in the required condition.

21. Limitation of liability and content

The Seller is not liable for damage arising from misuse, non-compliant installation, or non-professional use of products that require specific expertise. Product images and descriptions are provided for information only and may be indicative; the manufacturer’s technical sheet and/or the description at the time of ordering shall prevail.

22. Accounts, abuse and fraud

The Seller reserves the right to suspend or close accounts, even without prior notice, in the event of abuse, attempted fraud, breaches of these Terms or improper use of services.

23. Privacy and Cookies

Information about the processing of personal data and the use of cookies is available on the dedicated pages of the Website. These Terms fully refer to the respective policies.

24. Governing law and jurisdiction

These Terms are governed by Italian law. For B2B relationships, the competent court is Catania, without prejudice to mandatory rules. For Consumer Customers, the consumer’s court applies where mandatorily provided by law.

25. Alternative dispute resolution (ADR/ODR)

The Consumer Customer may access the European ODR platform for online dispute resolution at: European Union ODR Platform.

26. Promotions, discount codes and gift cards

Any discount codes, promotions and/or gift cards, if available, are not combinable and do not allow partial use, unless expressly stated in the specific promotion’s conditions.

27. Product reviews

Reviews may be published only by registered customers who have purchased the product. All reviews are subject to moderation and checks; only text comments are accepted (no file attachments).

28. Changes to the Terms

The Seller may update these Terms. The applicable version is the one published on the Website at the time of ordering.
